Terms of Use
These Terms describe the current rules for using Truvera's trust infrastructure, protected transaction flows, dispute process, and public trust tools.
Terms Sections
Introduction
These Terms describe the current rules for using Truvera. Truvera is a product of ThinkNova Intelligent Solutions Ltd., incorporated in the Federal Republic of Nigeria with CAC registration number 8585897.
These Terms apply to use of Truvera public trust tools, account features, transaction flows, support channels, and related services.
Acceptance And Eligibility
By creating an account, using Truvera, starting or joining a transaction, using TrustID or invitation tools, or communicating with Truvera about a transaction, you agree to follow the applicable Truvera rules and policies.
The current launch eligibility requirement is 18 years or older. Truvera is launched for Nigeria. Individuals may use Truvera, and registered businesses may participate where applicable, including approved business or partner roles. Participation in a business, delivery, service-provider, agent, or partner role may require approval, verification, and continuing compliance.
Accounts, Verification, And Roles
Users are responsible for accurate account information, account security, and complying with verification requirements. Truvera may request identity, business, role, delivery, service, payout, or transaction information where reasonably needed.
Supported roles may include buyers, sellers, service providers, delivery partners, agents, business participants, and other approved participants. Each role must act honestly, follow transaction rules, and provide information or evidence when required.
Creating Transactions
A Truvera transaction may begin from a direct deal, invitation, supported discovery flow, checkout link, product, service, or other supported context. Transaction participants are responsible for reviewing price, description, delivery or service scope, fees, counterparty details, and any other material terms before committing.
Truvera may reject, pause, or require more information for transactions that appear incomplete, risky, abusive, unlawful, unsupported, or inconsistent with platform rules.
Protected Payments And Financial Partners
Truvera is not a bank, does not accept deposits as a bank, and does not operate a general user wallet. Payment collection, safeguarded movement of transaction funds, and settlement rely on appropriately regulated financial or payment partners.
Truvera governs the transaction experience, evidence, confirmation, release, refund, and dispute workflow. Truvera may integrate additional regulated partners over time and will not display partner names or logos unless separately authorized.
Current Standard Fees
Current Standard Truvera Fees are configuration-driven and may change prospectively under applicable terms. Applicable fees should be shown before transaction commitment or payment.
The current launch schedule is: ₦1-₦49,999: ₦2,200 flat; ₦50,000-₦99,999: 1.75% + ₦1,750; ₦100,000-₦499,999: 3% with ₦3,500 minimum and ₦10,000 maximum; ₦500,000+: 2.5% with no cap. The current buyer/seller split is 50/50, and current standard fees are rounded up to the nearest ₦50.
Fulfilment, Delivery, Inspection, And Confirmation
Sellers, service providers, delivery partners, and other participants must fulfil the agreed transaction honestly, within the supported transaction context, and with reasonable evidence where required.
Buyers are responsible for reviewing goods, service completion, delivery records, and transaction information within the applicable confirmation or dispute process. Inspection timing and evidence rules may vary by transaction type and applicable platform rules.
Cancellation
Before payment or funding, a buyer may cancel because no protected transaction has been funded at that point.
After a transaction is funded, the buyer and seller or service provider may mutually agree to cancel where the transaction state permits. Truvera transaction or service fees already incurred are generally non-refundable unless Truvera determines otherwise or applicable law requires otherwise. Payment-processing charges controlled by third parties may not be refundable by Truvera.
Returns, Refunds, And Service Remedies
Where goods are materially defective, materially different from the agreed description, or seller fault is established through the transaction or dispute process, appropriate remedies may include return, refund, adjustment, and seller responsibility for reasonable return-delivery cost, subject to transaction circumstances and applicable law.
If a selected delivery service includes a free return benefit that applies to the transaction, no additional return-delivery charge should be imposed on the buyer merely because of that covered return.
A buyer change of mind after compliant goods have been delivered or accepted does not automatically create a refund right under Truvera contractual transaction protection. The seller may remain entitled to payment unless the parties agree otherwise or applicable law gives the buyer a right to cancel or return.
For service transactions, cancellation before performance may be available subject to transaction state and incurred fees. For partial performance, a remedy may reflect the value of properly completed work. Material non-performance or material deviation from agreed scope may support a full or partial refund. A completed conforming service is not automatically refundable for change of mind alone. Parties may mutually settle unresolved issues, and unresolved cases may enter Truvera dispute review.
Disputes And Internal Appeals
Truvera provides an opportunity for parties to resolve issues before opening a formal dispute. If unresolved, a party may initiate the formal Truvera dispute process.
Truvera may collect evidence, review transaction records, request information, assess fulfilment or delivery evidence, apply platform rules, and determine how protected transaction funds should be handled.
A final internal Truvera dispute determination is binding for purposes of the Truvera transaction and the handling, release, refund, or settlement of protected funds within Truvera, subject to the internal appeal process and rights that cannot legally be excluded. Truvera is not a court and the process is not statutory arbitration.
Every user receives access to one qualifying internal appeal for eligible final dispute decisions. Premium users may receive enhanced assistance or priority handling, but Premium does not purchase a more favorable outcome and substantive decision standards must remain fair regardless of subscription level. Appeal qualification criteria, deadlines, evidence rules, and review authority are governed by applicable platform rules.
Risk, Enforcement, And Prohibited Conduct
Users must not misuse Truvera, provide false information, commit fraud, abuse support or dispute systems, interfere with verification, evade fees, misuse TrustID or invitation tools, violate law, infringe rights, or use Truvera for unsupported or prohibited activity.
Truvera may suspend, restrict, limit, or terminate account or platform access where reasonably necessary for suspected fraud, abuse, policy violations, security risk, identity or verification concerns, dispute protection, legal or compliance requirements, or platform misuse.
Truvera may delay or restrict transaction activity or settlement where reasonably required because of unresolved disputes, fraud or risk review, verification requirements, security incidents, legal or regulatory requirements, or payment-partner requirements.
Communications, Intellectual Property, And Third-Party Services
Truvera may communicate through website notices, application notices, email, SMS, support messages, or other approved channels. Users should keep contact information current.
Truvera names, logos, trademarks, product designs, website content, software, and related materials belong to Truvera or its licensors. Users may not copy, misuse, or imply endorsement without permission.
Some services depend on third-party providers, including payment, verification, hosting, infrastructure, delivery, and communications providers. Truvera is not responsible for third-party services beyond the responsibilities Truvera expressly accepts under applicable terms and law.
Service Availability And Responsibility
Truvera aims to provide reliable trust infrastructure, but service may be interrupted, delayed, unavailable, error-affected, or exposed to risk. Maintenance, security issues, partner outages, network failures, disputes, verification reviews, or legal requirements may affect availability or transaction timing.
Nothing in these Terms is intended to exclude non-waivable statutory rights or liability that cannot be excluded under applicable law. Any limitation, disclaimer, or indemnity wording should be interpreted subject to applicable Nigerian law.
Indemnity
To the extent permitted by applicable law, a user may be responsible for losses, claims, costs, or liabilities arising from their fraud, unlawful conduct, material breach of Truvera rules, misuse of the platform, or inaccurate information.
Changes, Governing Law, And Contact
Truvera may update these Terms prospectively as the product, fee configuration, partner arrangements, law, or business rules change. Updated versions should indicate the applicable version or effective date when approved for publication.
These Terms are governed by the laws of the Federal Republic of Nigeria. Court, venue, forum, and jurisdiction issues are handled according to applicable Nigerian law and any mandatory consumer or procedural protections.
